Baylor Scott & White Health and Tenet Healthcare announced Thursday that they have entered into an agreement to restructure their joint venture arrangements for three hospitals, which includes Baylor Scott & White Medical Center-Centennial in Frisco.

Baylor Scott & White and Tenet have jointly owned and operated five hospitals since January 2016, with Baylor Scott & White as the majority owner.

As part of the agreement, Baylor Scott & White will acquire Tenet’s minority interest in both the Centennial and Baylor Scott & White Medical Center-Lake Pointe facilities and will take over the operations of both hospitals. The Sunnyvale location will become part of Texas Health Ventures Group, an existing joint venture between Tenet’s United Surgical Partners International subsidiary and Baylor Scott & White.

The two other facilities located in Garland and White Rock have announced plans to either permanently close or be sold.

According to Baylor Scott & White, the transactions for the Centennial facility are expected to close this spring and are subject to regulatory review and customary closing conditions. Baylor Scott & White is not disclosing the terms of the agreement.

“For Baylor Scott & White, this is an opportunity to grow in a community we have served for more than 15 years,” said Baylor Scott and White Health CEO, Jim Hinton. “Through this agreement, we are growing our employee base and our wholly owned hospitals, and honoring our mission as a Christian ministry of healing.”
